Minimum Corporate Compliance for a Company
Once a company is incorporated, there are several minimum corporate compliance requirements that must be followed — even if the company has not yet started its actual business operations. This summary helps new businesses and incorporators to anticipate and plan for their ongoing compliance obligations.
Corporate Governance: Compliance with Law on Commercial Enterprise
Convening meeting of shareholders (for company having more than 1 shareholder) : at least once a year
Convening meeting of directors (for company having more than 1 director): at least once every 3 months
Employment: Filing obligation with Ministry of Labor and Vocational Training (MLVT)
Filing documents (i.e. payroll ledger, internal rule, enterprise book, etc.) with MLVT through Labor Centralized Management System (LACMS): one-off - within 30 days from date of Declaration of Opening of Enterprise (online registration of the company via CamDigiKey)
Updating employees’ records: each time - upon recruitment or dismissal of employees
Applying for Approval for Annual Quota for Foreign Employee: annually - before 30 November
Apply for work permit for a foreign employee or representative named on the company’s Patent Tax Certificate:
within 90 days from his/her arrival in Cambodia (for those who does not have work permit before) or
between 1 January to 31 March (for renewal of existing work permit)
Filing Self-Inspection Declaration: semi-annually:
in June and
in December
Employee Insurance: Filing obligation with National Social Security Fund (NSSF)
Contributing to NSSF: monthly
first contribution within 30 days from the date of NSSF registration and
subsequently by 15th of the following month
Corporate Change: Filing obligation with Ministry of Commerce (MOC), General Department of Taxation (GDT) and MLVT
Registering any change to the company’s registered information: one-off – within 15 working days from the resolution of such change.
Filing Declaration of Commercial Enterprise: annually – within 3 months from incorporation anniversary date
Tax Compliance: Filing Obligation with GDT
Filing monthly tax declaration: monthly – by 20th of the following month
Filing annual tax declaration: annually – within 3 months from tax year-end
Paying Patent Tax: annually – by 30th March
Financial Reporting: Filing Obligation with Accounting and Auditing Regulator (ACAR))
Filing Financial Statement: annually
by 20 April for company not being subject to auditing or
by 20 July for company subject to auditing
